     On April 2, 2009, Navios Maritime Partners L.P. (“Navios”) issued a press release announcing it would not exercise its option to acquire TBN II from Navios Maritime Holdings Inc. The press release is attached as Exhibit 99.1 to this Report and is incorporated herein by reference.

ANNOUNCES that it will not exercise its option to acquire TBN II
PIRAEUS, GREECE – April 2, 2009 - Navios Maritime Partners L.P. (“Navios Partners”) (NYSE: NMM), an owner and operator of Capesize and Panamax vessels, announced today that it would not be exercising its option to acquire TBN II, a new building capesize vessel, from Navios Maritime Holdings Inc. for $135 million. This decision was reached in light of the unfavorable conditions in the capital markets. There are no fees or costs payable in connection with the option expiration on April 1, 2009.
